Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NPRAplus software-as-a-service (“Service”) operated by NOVA Labuan Limited (“we”, “us”). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

NPRAplus is a regulatory-compliance workflow tool for cosmetic products, focused on the Malaysian National Pharmaceutical Regulatory Agency (NPRA) cosmetic notification process via the Quest3+ portal. The Service allows users to store product formulations, validate them against ingredient-annex restrictions, and generate submission-ready artefacts (Product Information File, CSV data sheet, checklist).

2. Eligibility and accounts

  • The Service is currently invite-only. Accounts are created by invitation by NOVA Labuan Limited.
  • You must be at least 18 years old and acting on behalf of a legal entity that manufactures, distributes, or consults on cosmetic products.
  • You are responsible for the confidentiality of your login credentials and for all activity under your account.
  • You must provide accurate information when registering and keep it up to date.

3. Subscription and payment

  • Subscription fees are billed in advance on a monthly or annual basis in MYR (default), with EUR, USD, or SGD invoicing available on request.
  • Fees are non-refundable except where required by applicable law. You may cancel at any time; access continues until the end of the paid period.
  • We may adjust pricing for renewal periods with at least 30 days’ notice.

4. Your data and content

  • You retain all rights to formulas, brand data, ingredient lists, and other content you upload (“Customer Content”).
  • You grant us a non-exclusive licence to host, process, and display your Customer Content solely to provide the Service.
  • You may export your Customer Content at any time via in-app export tools.
  • On termination, we will delete your Customer Content within 90 days unless retention is required by law.

5. Acceptable use

You agree not to:

  • Submit false, misleading, or fraudulent information to NPRA or any regulator through output generated by the Service.
  • Reverse-engineer, scrape, or attempt to extract our database or source code.
  • Use the Service to transmit malware, illegal content, or content that infringes third-party rights.
  • Resell or redistribute access to the Service outside the scope of your subscription tier.

6. Regulatory disclaimer

NPRAplus provides software tools and curated regulatory references. It is not legal or regulatory advice. Compliance decisions remain your responsibility. Ingredient annex data is drawn from public sources (NPRA Guidelines, ASEAN Cosmetic Directive, EU Regulation 1223/2009) and may lag behind gazetted updates. Verify critical findings against the official source before submitting a notification.

7. Service availability

We target 99.5% monthly uptime but do not guarantee uninterrupted service. Planned maintenance will be announced in advance where possible.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the subscription fees you paid to us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, special, or exemplary damages, including lost profits or lost business opportunities.

9. Termination

We may suspend or terminate your access if you materially breach these Terms, with notice where feasible. You may terminate your subscription at any time via the in-app cancellation flow or by emailing npra@novalabuan.com.

10. Governing law

These Terms are governed by the laws of Malaysia. Any dispute shall be resolved by the courts of the Federal Territory of Labuan, without prejudice to mandatory consumer-protection rights available to you under the law of your country of residence.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
